1. INTRODUCTION

This Content Submissions License Agreement (the "Agreement") is entered into between Dust-to-Digital, Inc. ("DTD") and you (the "User").

By clicking "I Agree" and/or submitting any content to DTD, you confirm that you are bound by this Agreement.

If you do not agree, do not submit any content to DTD.

2. ELIGIBILITY

By submitting content, you represent and warrant that:

• You are at least 18 years of age.
• You are the sole owner of the submitted content, or you have obtained all necessary rights, consents, and permissions.
• If others are involved, you have secured all permissions from songwriters, performers, or participants.

3. GRANT OF RIGHTS

You grant to DTD an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to:

• Reproduce, copy, distribute, perform, display, and digitally transmit your submitted content (the "Content Submissions").
• Use the content in connection with DTD's websites, social media channels, podcasts, and branded productions (the "DTD Media Channels" and "DTD Productions").
• Edit, format, or create derivative works of the content as necessary for display or optimization.
• Use the content in promotional and marketing materials.
• Sublicense rights to DTD's contractors, service providers, and agents.

You waive all "moral rights" or equivalent claims. DTD has no obligation to use or display your content.

4. GRATUITOUS LICENSE

The rights you grant under this Agreement are provided gratis. No compensation will be paid.

5. NAME AND LIKENESS

You grant DTD the non-exclusive right to use your name, voice, image, likeness, and biographical material in connection with the distribution of your content.

6. PERMISSIONS

You represent that you have secured all necessary licenses, waivers, releases, and consents ("Permissions"), including but not limited to:

• Rights of publicity and privacy.
• Intellectual property rights.

Such Permissions ensure that DTD can use your content without violating third-party rights or incurring additional obligations.

7. CREDITS

DTD will make commercially reasonable efforts to credit you as submitted. However, the type, size, placement, and duration of credit will be determined solely by DTD.

8. WARRANTIES

You represent and warrant that:

• a) You have full authority to grant these rights.
• b) The content may be freely used by DTD.
• c) DTD is not required to make any payments related to your content.
• d) Your content does not infringe any rights, including contractual, copyright, or privacy rights.
• e) You own or control 100% of the content, including musical works, sound recordings, images, and materials embodied in it.
• f) You are solely responsible for obtaining and paying for any required licenses (mechanical, public performance, etc.).

9. INDEMNITY

You agree to indemnify and hold harmless DTD, its affiliates, officers, directors, employees, and contractors from any claims, damages, liabilities, or expenses (including attorneys' fees) arising from your breach of this Agreement.

10. ASSIGNMENT

• DTD's Rights: DTD may assign its rights under this Agreement to third parties with your prior written consent.
• User's Rights: You may assign your rights at your own discretion.

11. MODIFICATIONS

DTD reserves the right to update this Agreement at any time. The version in effect at the time of submission will govern.

12. INCORPORATION OF TERMS

This Agreement incorporates by reference the DTD Website Terms and Conditions, which supplement this Agreement.
